Please read these Terms of Service carefully before using the Service.

Interpretation and Definitions

Interpretation

The words with initial capital letters have meanings defined under the following conditions. The definitions apply whether the words appear in singular or plural.

Definitions

For the purposes of these Terms:

  • Account — A unique account created for You to access the Service or parts of the Service.
  • Affiliate — An entity that controls, is controlled by, or is under common control with a party.
  • Company (referred to as "the Company", "We", "Us", or "Our") refers to Ultimize AI.
  • Content — Prompts, messages, responses, files, metadata, feedback, or other information submitted, generated, stored, or displayed through the Service.
  • Device — Any device that can access the Service, such as a computer, mobile phone, tablet, or browser-enabled device.
  • Feedback — Feedback, ideas, suggestions, innovations, or recommendations sent by You regarding the Service.
  • Privacy Scanner — The automated detection, masking, warning, blocking, highlighting, Smart Mask, audit, and related privacy enforcement features made available through the Service.
  • Service — The Ultimize AI website, application, AI chat workspace, privacy scanner, multi-LLM routing engine, and all related services.
  • Subscription — A paid plan, workspace plan, seat plan, usage plan, or other paid access to the Service.
  • Terms — These Terms of Service, which form the agreement between You and the Company regarding use of the Service.
  • Third-party AI Provider — Any third-party model provider, AI gateway, or related service used to generate AI responses through the Service.
  • Third-party Service — Any service, content, software, data, information, product, or integration provided by a third party and made available through or in connection with the Service.
  • Website — The public Ultimize AI website.
  • Workspace — An organization, team, or personal workspace inside the Service.
  • You — The individual accessing or using the Service, or the company or other legal entity on behalf of which such individual accesses or uses the Service.

Acknowledgement

These Terms govern Your use of the Service and set out the rights and obligations of all users. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms.

By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access or use the Service.

If You use the Service on behalf of an organization, You represent that You have authority to bind that organization to these Terms.

You represent that You are at least 18 years old. The Company does not permit anyone under 18 to use the Service.

Description of Service

Ultimize AI is a multi-LLM AI platform with a built-in privacy enforcement layer. The Service may detect personally identifiable information (PII) or other sensitive information in messages before they are sent to Third-party AI Providers and may apply configurable actions such as blocking, warning, highlighting, masking, or Smart Mask.

The Service is intended to assist with privacy-aware AI usage. It is not a substitute for legal advice, compliance advice, medical advice, financial advice, security review, or a comprehensive data protection program.

User Accounts

When You create an Account, You must provide information that is accurate, complete, and current. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of Your Account.

You are responsible for:

  • Safeguarding the password, login method, and credentials used to access the Service.
  • All activity that occurs under Your Account.
  • Maintaining accurate Account and billing information.
  • Notifying Us immediately if You become aware of unauthorized access or a security breach.

Workspace Accounts and Administration

The Service may allow users to create or join Workspaces. Workspace owners and administrators may configure model access, privacy policies, member access, billing, usage controls, and audit settings.

If You use the Service through a Workspace:

  • You are subject to the Workspace policies configured by authorized administrators.
  • Your Workspace administrators may access member information, billing information, usage data, audit logs, and privacy event metadata.
  • Your organization is responsible for ensuring that its use, configuration, and policies comply with applicable law and internal requirements.
  • You may be restricted from using certain models, privacy modes, or features based on Workspace settings or plan limits.

Subscriptions, Billing, and Usage

Some parts of the Service may require a paid Subscription. By purchasing or using a paid plan, You authorize the Company or its payment processors to charge applicable fees, taxes, seat charges, usage charges, or other amounts associated with the selected plan.

You agree to provide accurate billing information and to keep payment information current. Payment processing may be handled by third-party payment processors and may be subject to their terms and privacy policies.

The Company may revise prices, plan features, or usage limits from time to time. Material pricing changes will be communicated where required by law or contract.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Use the Service to process information without the rights, authority, permissions, consents, or lawful basis required to do so.
  • Submit content that infringes, violates, or misappropriates another party's rights.
  • Attempt to circumvent, disable, overload, or interfere with the Privacy Scanner or other security controls.
  • Upload malicious content designed to exploit, evade, poison, or reverse-engineer the PII detection pipeline.
  • Attempt to access, extract, decrypt, or reconstruct replacement maps, private keys, credentials, model prompts, internal systems, or other restricted data.
  • Attempt to reverse-engineer, scrape, clone, benchmark abusively, or copy the Service except as permitted by law.
  • Share Account credentials or allow unauthorized access to an Account or Workspace.
  • Use the Service to generate malware, phishing, spam, abusive content, unlawful surveillance, or other harmful content.
  • Interfere with the operation of the Service or impose an unreasonable load on infrastructure.
  • Use the Service in a way that violates the terms of Third-party AI Providers or other Third-party Services.

Privacy Scanner, Sensitive Data, and User Responsibility

The Service may include automated privacy scanning, PII detection, masking, blocking, warning, highlighting, output checks, Smart Mask, and audit functionality. These features are designed to reduce privacy risk, but they may be inaccurate, incomplete, delayed, unavailable, or affected by configuration, model behavior, ambiguous text, formatting, language, or system limitations.

You acknowledge that the Privacy Scanner may make mistakes. Sensitive information may not always be detected, masked, blocked, warned about, removed, or restored correctly.

You should not submit highly sensitive, regulated, confidential, or personal information unless You are authorized to do so and accept the risk that automated privacy controls may be imperfect.

AI Outputs

AI-generated responses may be inaccurate, incomplete, misleading, offensive, unsafe, or unsuitable for Your use case. The Company does not guarantee the accuracy, quality, legality, safety, reliability, or usefulness of AI outputs.

You are responsible for evaluating AI outputs before relying on, sharing, publishing, or acting on them. You should not rely on the Service as a sole source of truth for legal, medical, financial, compliance, security, employment, or other professional decisions.

Third-Party AI Providers and Services

We are not responsible for:

  • The accuracy, quality, availability, or suitability of AI-generated responses.
  • Service interruptions, rate limits, outages, policy changes, or pricing changes from Third-party AI Providers or Third-party Services.
  • The privacy, security, or contractual practices of third parties beyond controls We operate inside the Service.
  • Content transmitted to third parties according to Your selected privacy mode, Workspace policy, or Service configuration.

Content and License

You retain ownership of Content You submit to the Service, subject to these Terms and any rights held by others.

By submitting Content, You grant the Company a limited, worldwide, non-exclusive license to host, process, transmit, display, scan, mask, analyze, store, and otherwise use the Content as necessary to provide, secure, maintain, troubleshoot, and improve the Service.

Intellectual Property

The Service and its original content, software, interfaces, design, workflows, algorithms, documentation, trademarks, trade dress, and functionality are and will remain the exclusive property of the Company and its licensors. Our trademarks and trade dress may not be used without Our prior written consent.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its Affiliates, licensors, suppliers, officers, employees, contractors, and Service Providers will not be liable for any special, incidental, indirect, consequential, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, loss of goodwill, or loss of privacy.

To the maximum extent permitted by applicable law, the total liability of the Company for any claim arising from or relating to the Service will not exceed the amount You paid to the Company during the twelve months preceding the claim, or $100 USD if You have not paid anything.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its Affiliates, officers, employees, contractors, licensors, suppliers, and Service Providers from and against any claims, damages, liabilities, losses, costs, or expenses arising from or related to Your use of the Service, Your Content, or Your violation of these Terms.

Governing Law

These Terms and Your use of the Service are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

Dispute Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting Us at support@ultimize.ai. We will attempt to resolve the dispute in good faith within thirty (30) days.

Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide notice before the new terms take effect.

By continuing to access or use the Service after revisions become effective, You agree to be bound by the revised Terms.
